Martin Capital Partners' move to liquidate its position in the alcoholic beverages juggernaut is a bit of a red flag for Diageo.
While it is far from a death knell for the steady behemoth, Diageo's shares have slid 50% from their all-time high just three years ago.
Over the last decade, the company's sales, net income, and dividend payments have only inched higher by low-single-digit percentages annually, offering minimal compounding potential for investors.
Though Diageo pays a high-yield dividend of 4.4%, its payments used 86% of the free cash flow that the company recorded in 2025. This figure doesn't leave a ton of wiggle room for higher payments in the future -- especially considering Diageo wants to use cash to pay down its hefty net debt balance of $21.5 billion.
With global drinking rates and quantities declining, Diageo will have its work cut out for it as it modifies its portfolio of brands to match consumers' changing tastes.
However, the company now trades at a meager 14 times forward earnings following its decline. Diageo could become an interesting value play if it can turn things around in a better consumer environment, but Martin Capital Partners doesn't appear to want to wait for that to happen.

Martin Capital Liquidates its Diageo Position: What That Means for the Alcoholic Beverages Titan

This morning a "Potential Dividend Run Alert" went out for Diageo plc (NYSE: DEO), at our DividendChannel.com Dividend Alerts service (a free email alerts feature). Let's look at the situation in greater detail, shall we?
First of all, what is a "Dividend Run" anyway? This is an interesting concept which we first learned about at a past ValueForum conference. And to best explain the concept, we need to start with the expected behavior of a stock on its ex-dividend date.
For anyone unfamiliar with the term, the ex-dividend date marks the trading day when any buyer of the stock is no longer entitled to the referenced dividend — in other words, to be eligible to receive the dividend in question, one would have had to purchase their shares before the ex-dividend date.
All else equal, the stock price would be expected to drop by the dividend amount on that ex-date (remember, that's "all else equal" and naturally other factors will drive stocks higher/lower on any given day). But think about it: if a buyer is entitled to a 2.52 dividend before ex-date, but no longer entitled to that amount on or after ex-date, then this drop makes perfect sense! Because if the shares didn't drop by that same 2.52 the next day, then effectively, buyers would effectively be paying 2.52 more for the same share of stock.
But now think about this: if a stock is expected to drop by the dividend amount (all else equal) on ex-date, then in turn, shouldn't that stock be expected to rise sometime ahead of a dividend? After all, if a dividend-paying stock didn't ever rise and only fell on each and every ex-date, then eventually after enough dividend payments those shares would have fallen to zero. And that wouldn't make any sense for a company continually earning money and paying dividends. So indeed, "sometime" before a given dividend, there should be sort of a built-in "pressure" for a stock to gradually rise in expectation of that next cash dividend... in other words: pressure for the stock to have a potential Dividend Run.
And notice we put the word "sometime" in quotes in that last sentence, because there are differing views among different dividend investors about timeframe when it comes to capturing Dividend Run effects. Some like to invest (and then also to sell) on specific target dates; others like to employ some form of dollar cost averaging. Some like to invest shortly before ex-div, hold for the dividend, and then sell on or after ex-date (having actually capturing the dividend / received the income). Others like to sell the day before ex-date (the last possible day where the buyer of the shares will still be "paying for" the upcoming dividend) with the idea to try and maximize capital gain. In this capital-gain-focused scenario, one common timeframe we've seen discussed, is to buy about two weeks (ten trading days) prior to the targeted sale date.
For example, consider the 1.62/share DEO dividend that went "ex-dividend" on 02/28/25. On the prior trading day — the last day where a seller knows that the buyer of their shares will be expecting that dividend amount — shares of DEO closed at 108.64. And two weeks (ten trading days) prior to that, on 02/12/25, shares closed at a price of 106.42. That means that in the final two-week run-up to the 1.62 dividend, DEO gained 2.22 in price.
Looking back at the last four dividends paid by DEO, this strategy would have captured a capital gain in excess of the dividend 3 out of 4 times, with a "Divvy Run" total of +12.5 in capital gains. Incidentally, that exceeds the sum total dividend amounts across those last four dividends, of 8.268. Here's the data:

Diageo Plc DEO continues to demonstrate resilience in a challenging macroeconomic environment, leveraging its premium spirits portfolio and commercial execution to deliver modest organic growth. The fiscal 2025 results showed organic net sales rising 1.7% year over year and earnings broadly in line with guidance despite FX headwinds and overhead investments. Growth was supported by key brands, such as Don Julio, Guinness and Crown Royal, with tequila and scotch leading the premiumization trends.
DEO is also broadening its reach through innovation, expanding Guinness 0.0, introducing Johnnie Walker variants, and extending into RTDs and non-alcoholic categories. These moves not only recruit younger consumers but also position Diageo to capitalize on evolving moderation and premiumization trends globally.
To address margin pressure, Diageo is executing its Accelerate program, targeting $625 million in savings in three years. Investments in digital, supply-chain agility and consumer data analytics are expected to strengthen long-term competitiveness.
The company’s free cash flow reached $2.7 billion in fiscal 2025, and management reaffirmed its deleveraging commitment, intending to generate $3 billion annually from fiscal 2026. This provides flexibility to sustain dividends and fund selective innovation despite near-term volatility.
However, macro headwinds remain significant. Consumer moderation trends, cautious U.S. demand, currency volatility and the risk of U.S. tariffs may constrain near-term earnings momentum. While Diageo’s spirits-led growth strategy and premium brand strength position it to outperform in the long run, investors must weigh these structural strengths against the cyclical pressures that may limit the upside in the near term. The case for Diageo remains one of patience, steady premium growth against a backdrop of challenging consumer sentiment.
How DEO’s Rivals Are Shaping Spirits Growth Strategies
Anheuser-Busch InBev SA/NV BUD, alias AB InBev, is accelerating its move into the higher-margin spirits space, complementing its beer dominance with premium innovations and brand extensions. Growth in this category supports portfolio diversification and taps into consumer demand for versatility and premium experiences.
However, macro headwinds, including FX volatility, inflation and subdued consumer sentiment in key markets, remain challenges. While spirits growth offers a promising offset, near-term performance will likely hinge on execution and the broader economic backdrop.
Brown-Forman Corporation’s (BF.B) spirits portfolio showed resilience in first-quarter fiscal 2026 despite macro and FX headwinds. Net sales slipped 3% reported, but organic sales rose 1%, supported by double-digit growth in emerging markets and RTDs like New Mix.

Boston Beer Company Inc.’s SAM second-quarter 2025 results highlight the tension between its strong brand momentum and ongoing macro pressures. While depletions remain under pressure, the company has benefited from margin improvements, innovation, such as Sun Cruiser, and disciplined execution that helped offset softer demand.
Management remains cautious, given the economic headwinds and shifting consumer behavior, but Boston Beer’s diversified portfolio and robust balance sheet provide resilience. The real question is whether its spirits and innovation-led growth can fully counter broader industry softness.

Consumer Sentiment Falls Further
The University of Michigan's preliminary consumer sentiment index fell to 58.6% in July from a final reading of 61.7 in June, missing analysts’ expectations of a rise to 62. The reading for buying conditions fell 14%, the lowest in a year.
The survey mentioned that households are expecting prices of goods to rise due to higher tariffs, which is denting their sentiment. The short-term inflation expectations worsened, with the projected 12-month inflation outlook rising to 4.9% in July from 4.5% in June.

Multiple Factors Denting Sentiment
Stocks rallied over the past couple of months, with the Dow, the S&P 500 and the Nasdaq hitting multiple new all-time closing highs, after Trump halted tariffs and the White House initiated trade talks with several countries to reach fair trade deals.

Diageo to Report FY25 Results: What Surprise Awaits Investors?

The Boston Beer Company, Inc. SAM posted second-quarter 2025 results, wherein the bottom line beat the Zacks Consensus Estimate and improved year over year. Meanwhile, the top line missed the Zacks Consensus Estimate but exceeded year over year. Despite industry-wide volume pressures, the company showcased resilience in the second quarter of 2025.
Depletions declined 5% due to economic uncertainty and unfavorable weather during key selling weeks. Nevertheless, SAM managed to grow market share in the first half, driven by its diversified portfolio of iconic brands, a robust innovation pipeline and a high-performing sales force. Encouraged by the success of its multi-year margin enhancement initiatives, management raised gross margin guidance, highlighting continued improvement in profitability.

Analyzing SAM’s Quarterly Performance
Boston Beer reported a 0.8% year-over-year decline in shipment volume to 2.1 million barrels in the second quarter. The decline mainly resulted from lower volumes of Truly Hard Seltzer and Samuel Adams, partially offset by growth in Sun Cruiser and Dogfish Head brands. Meanwhile, depletions fell 5% year over year.
Year-to-date depletions through the 26 weeks ended June 28, 2025, are estimated to have declined 3% year over year.
As of June 29, 2025, distributor inventory averaged nearly four and a half weeks on hand compared with five weeks on hand as of the end of first-quarter 2025 and about three and a half weeks on hand at the end of second-quarter 2025. This indicates that inventory is at appropriate levels for each of its brands.
The gross profit improved 9.8% year over year to $292.5 million, whereas the gross margin expanded 380 basis points (bps) to 49.8% from 46% in the year-ago quarter. The gross margin improved, mainly driven by brewery efficiencies, procurement savings, price increases and a favorable product mix. These gains were partially offset by higher inflationary and tariff costs. The company’s gross margin included $5.7 million of shortfall fees and $2.6 million of non-cash expenses related to third-party production prepayments, impacting the gross margin negatively by 141 bps in the second quarter.
Advertising, promotional and selling expenses rose 10.7% in the second quarter to $15.5 million, owing to higher investments in media . General and administrative expenses declined 4.7% year over year to $2.3 million, primarily driven by lower salaries and benefits, including reduced incentive compensation.
SAM’s Financial Snapshot
As of June 28, 2025, Boston Beer had cash and cash equivalents of $212.4 million and total stockholders’ equity of $912.4 million. The company currently has $150 million in its line of credit, which, along with its cash position, will be sufficient to meet cash requirements.
SAM repurchased Class A common stocks worth $99.2 million in second-quarter 2025 and $11.3 million from June 30, 2025, through July 18, 2025. This brings the company’s total year-to-date share repurchases to $110.5 million. As of July 18, 2025, it had $317 million remaining under its current share repurchase authorization of $1.6 billion.
Expectations From Boston Beer in 2025
SAM has updated its full-year 2025 financial guidance and revised its estimate of the financial to exclude any potential impacts of tariffs. The updated outlook reflects lower volume expectations due to macroeconomic pressures on industry demand, offset by higher gross margin expectations resulting from stronger-than-anticipated brewery efficiencies in the first half of the year. While earnings per diluted share guidance remains unchanged from an operational standpoint, it now includes an updated estimated negative tariff impact of $0.96 to $1.28 per share, lower than the previously excluded estimate of $1.25 to $1.90 per share.
Depletions and shipments are expected to be down in the high single digits to down in the low single digits for 2025, as compared to down low single digits to up low single digits mentioned earlier. Price increases remain unchanged at 1% to 2%. The company anticipates that the current trend of shipments exceeding depletions will reverse in the second half of 2025. Due to the seasonal nature of the business, the third quarter typically sees significantly higher volume than the fourth. In the prior year, SAM was unable to fully meet demand in the second quarter, resulting in a catch-up of shipments during the third quarter. Given this dynamic and the tough comparison to the prior year, the company expects the bulk of the 2025 shipment reversal to take place in the third quarter, with shipment declines projected in the low- to mid-teens range.
SAM anticipates a gross margin of 46-47.3%, including tariffs for 2025, up from the previous estimate of 44% to 46.5%. Gross margin excluding tariffs is now projected to be 47% to 48%, up from the earlier range of 45% to 47%. The company's gross margin guidance includes the negative impacts of 100-140 bps from shortfall fees and non-cash expenses of third-party production pre-payments.
Advertising, promotional and selling expenses are anticipated to increase $30-$50 million. This projection does not include any change in freight expenses for the shipment of products to distributors. The company anticipates an effective tax rate of 29-30% for 2025. It envisions that GAAP earnings per share guidance, including tariffs, has increased to a range of $6.72 to $9.54, compared to the prior $6.10 to $9.25, while EPS excluding tariffs remains steady at $8.00 to $10.50.
Capital spending expectations have been reduced to $70 to $90 million, down from the prior range of $90 to $110 million, reflecting a more disciplined investment approach.
