(RTTNews) - The9 Ltd. (NCTY), a Shanghai-based online game operator, Monday announced that it has signed private placement agreements with cryptocurrency investment funds Elune Capital, Fine Vision Fund and Bripheno Pte. Ltd. The new investment will be used to establish a company to operate its global GameFi platform.
The Investors will provide $8 million against the issue of Class A common shares. The9 has agreed to issue 302,263,200 stock warrants equivalent to 1,007,544 ADSs to investors, each with the right to purchase one Class A common share. The exercise price of part of the warrants is $60 per ADS. All warrants have an exercise period of two years.
George Lai, Executive Director and CFO of The9, said: "This strategic cooperation is an important milestone for The9 to enter into the global GameFi industry. The investment and support from well-known cryptocurrency investment funds will make our new global GameFi platform concept "The Platform is a Big Game" possible. We plan to issue 10% of our shares within 3 years to support the future market, operation and exchange of GameFi coins.

The9 To Receive $8 Mln Investment From Crypto Funds To Establish Global GameFi Platform

(RTTNews) - The9 Limited (NCTY) announced that its subsidiary Shanghai The9 Information Technology signed an amendment agreement to joint venture agreement with its joint venture partner Zhejiang Huanyu Network Technology or Huanyu. Huanyu originally committed that the Joint Venture will have game revenues of at least RMB 600 million and a profit of RMB 200 million in 2025. Based on the Agreement, Huanyu increased its commitment that the Joint Venture will have game revenues of at least RMB 900 million and a profit of RMB 300 million in 2025, and the committed growth of game revenues and profit by at least 30% annually in 2026 and 2027 remains the same.
"In the past few months, we have been thrilled by the quality of MIR M. Other than MIR M, we will also cooperate with The9 to let our Joint Venture operate other games. The9: Partner Amends JV Agreement To Increase Revenue And Profit Guarantee

(RTTNews) - Internet company The9 Limited (NCTY), Wednesday announced that its wholly-owned subsidiary Shanghai The9 Information Technology Co., Ltd. has signed a joint venture agreement with ShaoXing TongZe Network Technology Co., Ltd., AI algorithms and data marketing service provider in China.
The9 will hold a 51% stake and TongZe will hold a 49% stake in the joint venture. The joint venture will become one of The9's consolidated subsidiaries to operate AI algorithms and big data marketing business and is expected to provide marketing solutions to The9's upcoming new MIR game: MIR M.
Under the agreement, TongZe committed that it will utilize its AI algorithms and big data to reach more than 100 million relevant pan-MIR tag users and more than 30 million paid MIR users.
It also committed to The9 that the joint venture will have an annual profit of more than RMB100 million (about $14 million) in 2025.
The9 will grant TongZe The9 restricted shares. The amount will be RMB 42.5 million/US dollar to RMB exchange rate on the date of issuance / NCTY share price on the date of issuance.
"We see that AI technology and applications have begun to bring new ideas to the traditional marketing of online games in China, which is too costly and inefficient. Our cooperation with TongZe will utilize its mature AI algorithms and big data to reach potential tagged MIR game users directly for our new MIR game," said George Lai, CFO of The9.

The9 Ltd. Subsidiary Inks JV Deal With ShaoXing TongZe Network Technology

(RTTNews) - The9 Limited (NCTY), an Internet company, announced Friday that its unit Shanghai The9 Information Technology Co., Ltd. signed a joint venture agreement with Zhejiang Huanyu Network Technology Co., Ltd., a Chinese game development and operation company.
The JV will become a consolidated subsidiary of The9 to operate the mobile and PC versions of the new MIR game: MIR M.
In the JV, The9 holds a 51 percent stake and Huanyu holds a 49 percent stake.
All after-tax profits of the JV will be distributed as dividends every quarter according to the shareholding ratio of the JV partners.
The company noted that Huanyu has committed that the JV Venture will have a game revenue of at least RMB600 million or around $84 million, and a profit of RMB200 million or around $28 million in 2025. The game revenue and profit will increase by at least 30 percent annually in 2026 and 2027.
The9 promised to grant Huanyu The9 restricted shares. The amount will be RMB 98 million. The shares will be issued 5 working days after the Joint Venture submits all relevant materials for applying for the Internet Content Provider license to the local government and obtains an application receipt.
Zhu Jun, Chairman and CEO of The9, said, "MIR is a benchmark product in the history of Chinese online games. According to unofficial statistics, MIR games have annual revenue of more than RMB20 billion."

The9, Zhejiang Huanyu Form JV To Operate Mobile And PC Versions Of New MIR Game

(RTTNews) - The9 Limited (NCTY) signed a legally binding term sheet with Zhejiang Fazhidao Information Technology Co. to purchase 19% shares of Fazhidao by cash and issuance of The9's restricted shares. The9 is also granted a purchase option to purchase up to 51% of the total shares of Fazhidao. The9 will pay cash consideration of $1 million and will issue restricted Class A ordinary shares to Fazhidao with the value of $14.2 million.
Fazhidao owns and operates 365LAWHELP.COM and mobile app FaBaoWang, an artificial intelligence Software as a service legal service platform in China. It has more than 120,000 cumulative paid subscribers.
